1. Agreement to Terms

Inbox Imp ("the Service") is operated by Bitwise Learning Inc., a Delaware corporation with its principal place of business at 6801 NE 132nd Way, Vancouver, WA 98686-4995, United States. "We", "us" and "our" mean Bitwise Learning Inc.; it is the party you contract with under these Terms and the controller of your personal data.

By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

How you accept. Each sign-in screen states, directly beside the sign-in control, that continuing means agreeing to these Terms and the Privacy Policy. When you sign in, we record the date and the version of these Terms then published. You can see the version you accepted in Settings. If we publish a materially different version, your next sign-in records your acceptance of that version; you can always read the current text on this page before continuing.

2. Description of Service

Inbox Imp is an AI-powered email organization tool that:

  • Reads the messages in a mailbox you connect (Google Gmail, or Microsoft Outlook / Microsoft 365) with your explicit authorization
  • Analyzes email content, including text and images extracted from attachments, using artificial intelligence
  • Files, labels and archives mail to help you organize and prioritize your inbox, and moves mail it is confident is spam to your mailbox's Trash / Deleted Items folder
  • Provides summaries and classifications via a web console
  • Optionally drafts replies and forwards, and sends mail you compose or forward

3. Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

4. Account and Authorization

4.1 Mailbox Authorization

To use the Service, you must authorize access to a mailbox: a Gmail account via Google OAuth, or an Outlook / Microsoft 365 account via Microsoft OAuth. By granting authorization, you:

  • Confirm you have the right to grant such access
  • Understand that the Service will read, analyze, and modify (label, archive, move, and in some cases send) your emails
  • Agree to the scope of permissions requested: gmail.modify for Google, or Mail.ReadWrite, Mail.Send and User.Read for Microsoft

4.2 Account Security

You are responsible for:

  • Maintaining the security of your Google or Microsoft account
  • All activities that occur under your authorization
  • Notifying us immediately of any unauthorized use

4.3 Revocation

You may revoke the Service's access at any time: for a Gmail account, at Google Account Permissions; for a Microsoft account, at Microsoft app permissions (or through your administrator, for a work or school account). Revoking stops processing but does not by itself delete data already stored; see section 7.3.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for organizing your own inbox.

5.2 Personal use

The Inbox Imp individual plan is licensed to one natural person solely for Gmail accounts that person owns or uses for their own personal or individual work correspondence. It may not be used to manage mailboxes for clients or other people, provide a managed email service, resell access, operate bulk or cold-outreach systems, or evade safeguards by creating or rotating accounts. We may review unusually high-volume or multi-domain activity and, after notice, require a business agreement or suspend new-message processing. Legitimate personal use will not be restricted solely because the subscriber owns many email addresses.

5.3 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose
  • Attempt to access another user's account or data
  • Reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or malicious content
  • Violate any applicable laws or regulations
  • Attempt to bypass any security measures
  • Use automated means to access the Service (except as intended)

6. AI Classification and Accuracy

6.1 No Guarantee of Accuracy

The Service uses AI to classify emails. We do not guarantee that classifications will be 100% accurate. Email classification is probabilistic and may make mistakes.

6.2 User Responsibility

You are solely responsible for:

  • Reviewing classifications and taking appropriate action
  • Verifying important emails are not mislabeled
  • Any consequences of automated classifications

6.3 No Liability for Missed Emails

We are not liable if the Service mislabels an email as low priority when it was actually important. Always review your inbox regularly.

7. Data and Privacy

7.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Processing

You acknowledge and agree that:

  • The Service will read your email content, including text and images extracted from attachments, for classification purposes
  • Email content is sent to our AI provider OpenRouter, which routes each request to an underlying model provider, for analysis
  • If you use "Research this sender", the sender's address, display name, domain and the message's subject line are sent through OpenRouter to Perplexity, a web-grounded model
  • Classification results, short body previews, search embeddings and short attachment descriptions will be stored in our database
  • We will handle your data as described in our Privacy Policy

7.3 User Data Rights

You retain all rights to your data. You may request data deletion at any time by contacting us at privacy@inboximp.com.

8. Intellectual Property

8.1 Service Ownership

The Service, including its software, design, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

8.2 Your Content

You retain ownership of your emails and data. By using the Service, you grant us a limited license to access and process your emails solely for the purpose of providing the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

9. Third-Party Services

9.1 Mail Provider Services

The Service integrates with Google Gmail and with Microsoft Outlook / Microsoft 365. Your use of Google services is subject to Google's Terms of Service, and your use of Microsoft services to the Microsoft Services Agreement or your organization's own agreement with Microsoft.

9.2 Third-Party Links

The Service may contain links to third-party websites. We are not responsible for the content or practices of third-party sites.

9.3 Subprocessors

The Service relies on the following third-party subprocessors to operate:

  • Google: Gmail API, Pub/Sub notifications, and Cloud Run hosting
  • Microsoft: the Graph API, for Outlook and Microsoft 365 mailboxes
  • OpenRouter: receives email subject lines, bodies, and attachment content for AI processing, and routes each request to an underlying model provider
  • Perplexity: reached through OpenRouter for sender research only, and sent only a sender address, display name, domain and subject line
  • Supabase: the database holding decisions, previews, embeddings and encrypted tokens
  • Stripe: web payment processing; we never see your card numbers
  • Apple: App Store purchases, and push notification delivery, whose alert text can include a sender name and subject line
  • PostHog (EU region): four product-funnel counts and nothing else; it never receives message content, email addresses or your IP address

What data is shared with each and how it is handled is governed by our Privacy Policy. The current list, with data categories and regions, is maintained in our subprocessor register and this list is updated before any addition goes live.

10. Service Availability

10.1 No Guarantee of Uptime

We strive to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Maintenance and updates
  • Technical issues or outages
  • Third-party service disruptions (Google, hosting providers, etc.)
  • Force majeure events

10.2 Modifications

We reserve the right to:

  • Modify or discontinue the Service at any time
  • Change features or functionality
  • Impose usage limits or restrictions

11. Termination

11.1 By You

You may terminate your use of the Service at any time by:

  1. Revoking OAuth access at Google Account Permissions or Microsoft app permissions
  2. Requesting data deletion via email to support@inboximp.com

11.2 By Us

We may suspend or terminate your access if you:

  • Violate these Terms
  • Use the Service in a way that causes harm
  • Engage in prohibited activities

11.3 Effect of Termination

Upon termination:

  • Your authorization to use the Service ends immediately
  • Deleting your account (in the web app or the iOS app) deletes your stored data straight away. If you ask us to delete it instead, we do so within 30 days. Termination or revocation on its own stops processing but does not delete data already stored; see section 7.3
  • Provisions that should survive termination (liability, indemnification) remain in effect

12. Disclaimers

12.1 "AS IS" Service

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 No Warranty

We do not warrant that:

  • The Service will be error-free or uninterrupted
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • AI classifications will be accurate
  • The Service will meet your specific requirements

13. Limitation of Liability

13.1 Exclusion of Damages

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, revenue, business interruption, missed opportunities, or any other intangible losses.

13.2 Maximum Liability

Our total liability to you for any claims arising from your use of the Service shall not exceed the greater of $100 USD or the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Inbox Imp, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws

15. Dispute Resolution for U.S. Users

15.1 Informal notice

Before starting arbitration, either party must send the other a written notice describing the claimant's name and account email, the facts, the requested relief, and a reasonable calculation of any monetary demand. Notices to Bitwise Learning Inc. must be sent to legal@inboximp.com and 6801 NE 132nd Way, Vancouver, WA 98686-4995. The parties will attempt in good faith to resolve the dispute for 30 days. Any limitations period is tolled during that period.

15.2 Small claims

Either party may bring an eligible individual claim in small-claims court in the county where the consumer resides or in Clark County, Washington. The claim may remain in small-claims court unless transferred, removed, or appealed to a court that may adjudicate claims only through a jury or bench trial.

15.3 Binding individual arbitration

Except for eligible small-claims matters and requests for emergency injunctive relief concerning unauthorized access, misuse, or intellectual-property infringement, disputes arising out of or relating to the Service, these Terms, the Privacy Policy, or the parties' relationship will be resolved by binding individual arbitration administered by the American Arbitration Association under its then-current Consumer Arbitration Rules. The Federal Arbitration Act governs this section. The arbitration may be conducted remotely or in the county where you reside. The arbitrator may award any individual remedy that a court could award, including statutory damages, attorney fees, and injunctive or declaratory relief. Bitwise will pay arbitration fees to the extent required by the AAA Consumer Rules or applicable law.

15.4 Court questions

A court will decide disputes concerning whether an arbitration agreement was formed, whether a party validly opted out, and the enforceability of the class-action waiver. The arbitrator will decide other disputes concerning the interpretation, scope, or enforceability of this section.

15.5 Class-action and jury-trial waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND BITWISE EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT COMBINE DIFFERENT PERSONS' CLAIMS WITHOUT ALL PARTIES' WRITTEN CONSENT. Where applicable law prevents arbitration of a request for public injunctive relief, that request will be decided by a court after the arbitrator decides the arbitrable individual claims.

15.6 Coordinated demands

If 25 or more similar arbitration demands are filed against the same or related parties and the claimants have coordinated representation, the AAA Mass Arbitration Supplementary Rules and applicable mass-arbitration fee schedule will apply. Each claimant retains an individual claim and individual remedy. Either party may request the global mediation or process-arbitrator procedures provided by those rules.

15.7 Thirty-day opt-out

You may opt out of arbitration by emailing legal@inboximp.com within 30 days after first accepting these Terms. The email must state "Arbitration Opt-Out" and include your name and Inbox Imp account email. Opting out will not affect your account or any other Terms. If you opt out, disputes may be brought in court subject to Section 16.

15.8 Non-U.S. consumers

This Section 15 does not apply to a consumer habitually resident in the EEA, United Kingdom, or another jurisdiction where a pre-dispute consumer arbitration requirement is prohibited. Such consumers may bring proceedings in the courts made available by the mandatory law of their habitual residence.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Updating the "Last Updated" date
  • Sending email notification (for significant changes)
  • Displaying a notice in the application

Continued use of the Service after changes constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

21. Payments and Billing

21.1 Membership

Access to the Service requires a membership of $9.99 USD per month (or the local equivalent shown at purchase), billed as a recurring subscription that renews automatically each month until you cancel. The membership includes AI usage for normal personal volume (fair use). A 7-day free trial is granted by the Service when you first set up; no payment method is required to start the trial.

Legacy $3 memberships remain honored. Those memberships unlock the Service with separately funded AI (your own OpenRouter key or prepaid credits), as described below.

21.1a Purchases in the iOS App (Apple App Store)

In the Inbox Imp iOS app, membership is sold as an auto-renewing subscription ("Inbox Imp Monthly", 1 month) purchased through Apple's App Store. Payment is charged to your Apple Account at confirmation of purchase. The subscription renews automatically unless it is cancelled at least 24 hours before the end of the current period, and your Apple Account is charged for renewal within 24 hours before the current period ends. You can manage or cancel an App Store subscription anytime in your device's Settings > [your name] > Subscriptions; deleting the app does not cancel it. Refunds for App Store purchases are handled by Apple under Apple's terms (request at reportaproblem.apple.com). Sections 21.3 and 21.4 below apply to web (Stripe) billing only, not to App Store subscriptions.

21.2 AI Usage Funding

On a legacy $3 membership (or when you choose to fund AI yourself), you fund the AI that powers classification in one of two ways:

  • Your own API key: Provide your own OpenRouter API key, which we store encrypted and use only for your AI requests. You are billed directly by OpenRouter under their terms.
  • Prepaid credits: Buy credits (in amounts from $1 to $1,000) that are drawn down as you use the AI. The amount charged is the credit value plus a 10% service fee, plus any applicable sales tax. The full credit value is added to your balance, and AI usage is deducted from that balance at cost.

21.3 Payment Processing (Web)

Payments made on the web are processed by Stripe; App Store purchases are processed by Apple (see 21.1a). We do not receive or store your full card number; Stripe and Apple handle payment details directly. We store your subscription status, credit balance, and a record of your transactions.

21.4 Cancellation

A membership purchased through the Apple App Store is cancelled in your device's Settings > [your name] > Subscriptions (see 21.1a). A membership purchased on the web can be cancelled from your account's billing settings or by contacting us at support@inboximp.com. Cancellation stops future renewals; it does not retroactively cancel a period already paid for.

21.5 Refunds

Prepaid credits are a prepayment for future AI usage. We do not offer automatic refunds. Requests to refund unused credits or a recent charge are handled on a case-by-case basis through support@inboximp.com, and we honor refunds where required by law.

21.6 Price Changes

We may change membership pricing, credit pricing, or the service fee. We will give notice of any change by updating these Terms and, for material changes, by email before the change applies. Changes take effect on your next billing cycle, and you may cancel before a new price takes effect.

22. Acknowledgment

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
